Understanding: Incorporated vs. Unincorporated Partnerships

⚠️ Important: Know the difference

An incorporated partnership IS registered in a trade/commercial register (such as KG, OHG, GmbH & Co. KG in Germany, or equivalent in other countries). These entities are separate legal entities with their own registration numbers.

A GbR (Gesellschaft bürgerlichen Rechts) or Grundstücksgemeinschaften are specific types of incorporated partnerships recognized in Germany and other German-speaking regions. If your partnership is registered in the Handelsregister (commercial register) and has a Handelsregisternummer, you are an incorporated partnership and must onboard as an Organization.

Rule of thumb: If your partnership has a Handelsregisternummer (DE), is listed in any official commercial register, or has a formal registration number → you are an Incorporated Partnership (Organization).

Supported Countries for GbR and Grundstücksgemeinschaften

Incorporated partnerships including GbR and Grundstücksgemeinschaften are supported in the following countries:

  • Germany — GbR, Grundstücksgemeinschaft (property partnerships)
  • Austria — GesbR and equivalent structures
  • Switzerland — Kollektivgesellschaft and similar entities
  • Other EU countries with equivalent incorporated partnership structures

Note: If your incorporated partnership is from a country not listed, you may still be able to onboard by selecting Organization as your entity type. Contact our support team via the Holidu Assistant in your account for guidance specific to your jurisdiction.

Before You Start: Have These Documents Ready

  • Partnership registration document (commercial register extract, certificate of incorporation, or official registration confirmation)
  • Partnership agreement or articles of association (Gesellschaftsvertrag)
  • ID documents of all legal representatives or partners with decision-making authority (passport, national ID card, or driver's license)
  • Tax ID or registration document issued by your country's tax authority
  • Bank statement (recent, within the last 12 months) showing the partnership's name and bank account details

Step 1: Verify Your Incorporated Partnership Details

1a. Log In to Your Holidu Account

  • Log in to your Holidu account and navigate to the Account tab
  • Click on 'Validate' or 'Verify Account' to begin the verification process
  • Select Organization as your entity type
  • Select Incorporated Partnership as your company type

1b. Enter Your Partnership Information

Provide the following details about your incorporated partnership:

  • Partnership name (exactly as it appears in the commercial register)
  • Registration number (Handelsregisternummer or equivalent)
  • Country of registration
  • Business address (must match the registered address)
  • Tax ID (if applicable in your country)

1c. Upload Your Partnership Registration Document

Upload an official extract or certificate from your country's commercial register confirming:

  • The partnership's legal name
  • The registration number
  • The names of all partners or authorized representatives
  • The registered address
  • Current registration status (active)

For GbR (Gesellschaft bürgerlichen Rechts): You may provide a certified extract from the Handelsregister, a notarized partnership agreement, or a letter from your tax authority confirming the partnership registration.

For Grundstücksgemeinschaften (property partnerships): Provide the property register extract (Grundbuchauszug) or official partnership deed establishing the shared ownership and management structure.

1d. Upload Your Partnership Agreement

Provide a copy of your partnership agreement (Gesellschaftsvertrag) or articles of association. This document must:

  • Include the names of all partners
  • Specify each partner's role, responsibilities, and ownership share
  • Outline decision-making authority and profit distribution
  • Be dated and signed by all partners
  • Be current and up-to-date

Step 2: Verify the Legal Representatives or Partners

You must verify the identity of all legal representatives or partners with decision-making authority in your incorporated partnership.

2a. Add Partnership Members

  • Click 'Add Partner' or 'Add Legal Representative' for each person who holds decision-making authority
  • For each person, provide:
    • Full legal name (as it appears on their ID document)
    • Date of birth
    • Country of residence
    • Ownership percentage or role in the partnership

  • Select the country where the ID document was issued
  • Select your document type (passport, driving license, or national ID card)
  • Scan the QR code provided with your mobile phone
  • Take clear, well-lit photos of both the front and back of your document
  • Follow the on-screen prompts to complete the verification
  • Verification is typically completed within minutes

Manual Upload:

  • Select your document type (passport, driving license, or national ID card)
  • Upload high-quality photos of the front and back of your document
  • Ensure the document is clear, fully visible, and legible
  • Click 'Submit' to complete the upload
  • Manual verification typically takes up to 72 hours

Step 3: Verify Your Payout Details

Your partnership's bank account must be verified to receive payouts. Important requirements:

  • The bank account must be registered in the name of your incorporated partnership (matching your commercial register entry)
  • The account holder name must match your partnership name exactly
  • The account must be a business account authorized to receive payments on behalf of the partnership

3a. Choose Your Verification Method

Instant Verification (Recommended; not available in all countries):

  • Search and select your online banking provider from the list
  • Log into your bank account through our trusted partner Tink
  • Your banking login details are not stored — they are used only for verification purposes
  • Verification is completed immediately

Manual Verification:

  • Enter your IBAN (or equivalent account number)
  • Upload a recent bank statement (dated within the last 12 months)
  • The statement must clearly show:
    • Your partnership's name (exactly as registered)
    • The bank account IBAN or account number
    • Your bank's name and location
  • Ensure the document is clear and legible
  • Click 'Submit' to complete the upload
  • Manual verification typically takes up to 72 hours

Step 4: Review and Submit

  • Review all information you've provided to ensure accuracy
  • Verify that all required documents have been uploaded
  • Confirm that all partner identities have been verified
  • Click 'Submit' to complete your verification application

What Happens Next

After submission, your verification status will be updated to 'In Review' in your Holidu account.

  • Instant Verification: If you used instant verification for all steps, your account may be activated within minutes to a few hours
  • Manual Verification: If you uploaded documents manually, verification typically takes up to 72 hours
  • Full Process: Allow up to two weeks for the complete verification process, including review by our specialized team in collaboration with Adyen
